Job Description
The world’s leading aerospace company is seeking an experienced Corporate BDS/Litigation Paralegal D to join the Boeing Law Department in our Arlington, Virginia location. The preferred candidate will bring career-level paralegal education, experience, and skills that enable him/her to partner closely with Boeing attorney-executives to provide advice, counsel, and support to Contracts, Supplier Management, Business Development, technical staff, IT, and Program Managers in business programs within Boeing Defense Space & Security (BDS) business unit and Boeing attorneys in the Litigation practice group. The position demands the ability to apply sound judgment, personal initiative, interpersonal skills, and successful decision-making in response to complex issues – to acquire and deploy knowledge of attorney guidelines, law department resources, company policy and procedures, Boeing organizational structures, and to independently function at a high level.

 

BDS primary job responsibilities include:

 

  • Review & revise Proprietary Information Agreements (PIAs) and other nondisclosure or non-sales agreements to identify key areas of concern and to protect the Boeing Company.
  • With supervision from attorneys: draft, review and revise legal documents, (e.g., contract terms, non-disclosure agreements, license agreements, policy updates, conflict of interest letters, organizational conflict of interest plans including mitigation strategies) for accuracy and compliance with Boeing’s policies and applicable laws and regulations, both foreign and domestic.
  • Draft, review, and revise documents concerning subsidiary governance or other Boeing and/or customer required documents.
  • Assist intellectual property counsel in advising on intellectual property and information protection issues and Government rights in data and software (FAR, DFARS).
  • Collect and compile facts, conduct detailed risk analyses, and identify potential solutions in a time critical environment.
  • Prepare and deliver for attorney review and decision, high quality, concisely written issue summaries which outline facts, highlight relevant contractual and legal requirements.
  • Perform review and analysis of contract terms and conditions in order to assist the Law Department in minimizing risk to The Boeing Company.
  • Under attorney supervision, conduct due diligence reviews of open source software, including licenses relevant to Boeing’s planned software use.
  • Conduct or participate in, intellectual property exit interviews of departing employees.
  • Perform legal research utilizing specialized software (e.g., Lexis/Nexis, CourtLink, WestLaw) and drafting research results in memorandum format for attorney review; conduct fact investigations, and manage complex projects.
  • Conduct information integrity incident investigations including maintaining case documents, preparing issue memoranda, and providing onsite support for document processing activities and monitoring deadlines and proprietary information.
  • Maintain confidentiality with sensitive matters as they arise, including encryption and proprietary legends.
  • Assisting with compliance programs such as anti-corruption, privacy, data retention, and drafting and maintaining policies and procedures.
  • Create, maintain and manage databases and web pages and prepare slide decks for attorney use and presentation.
  • The position may require occasional responsibilities for team or department-oriented tasks, projects, and activities.

 

Litigation primary job responsibilities include: 

  • Under limited guidance, perform legal, legislative, and factual research utilizing specialized software (e.g., Lexis/Nexis), the Internet, the Boeing Intranet, and other legal applications to compile information related to federal, state, and local regulations and case law and to assess Boeing’s responsibility and liability under the law in compliance with established Law Department procedures.
  • With supervision, drafts, cite checks, reviews, and revises documents for accuracy and compliance with Boeing’s policies and procedures and applicable federal, state, and local laws.
  • Coordinate with in-house counsel and paralegals, outside counsel, and company personnel to expedite the collecting, organizing and processing of documents for discovery requests, internal and external investigations, litigation cases, and third-party subpoenas. These activities will include working with attorneys, paralegals and clients across the Boeing enterprise to gather paper and electronic files.
  • Assist in identifying and locating potential company witnesses, and identifying and collecting relevant documents.
  • Assist with witness interviews regarding case information, case documents, and preparation of witness memoranda.
  • Draft document freeze and collection memos. Assist in document production process, including review for production and/or privilege, tagging and redaction, preparing privilege and redaction logs, and assisting with logistics and coordination utilizing document review tools, and quality control of productions.
  • Attend meetings on behalf of attorneys and report back on meeting content.
  • Maintain matter management systems, create and maintain document databases.
  • Follow up on the status of legal requests and investigations as necessary.
  • Recommend possible solutions and courses of action to senior paralegals as necessary.
  • Acts as liaison to coordinate, expedite and process communication, correspondence and documentation with outside counsel, the responsible attorney, and other Boeing personnel.
  • Perform and direct litigation document processing activities and monitor vendors.
  • The position may require occasional responsibilities for team or department-oriented tasks, projects, and activities.
  • Occasional domestic travel via common carrier may be required.
  • Assist attorneys conducting internal investigations, regulatory counseling, bid protests, contract claims and disputes, as well as federal and state court litigation.

Qualifications
Basic Qualifications (Required Skills and Experience):

  • This position must meet Export Control compliance requirements, therefore a “US Person” as defined by 22 C.F.R. § 120.15 is required. “US Person” includes US Citizen, lawful permanent resident, refugee, or asylee.
  • Experience in a law firm, corporate in-house counsel, or governmental legal setting.
  • Experience drafting, reviewing and revising contracts, such as purchase agreements, non-disclosure agreements or memorandums of understanding.

Preferred Qualifications (Desired Experience & Skills):  

  • Experience with Federal Acquisition Regulations.
  • Experience conducting in-depth research and general legal research, including but not limited to statutory, regulatory, interpretive agency documents, legislative histories and case research, within the last 2 years, using Lexis/Nexis and/or Westlaw.
  • Experience in the handling and the safeguarding of proprietary and confidential information.
  • Proficiency with SharePoint set-up, WebEx set up and records management systems.

Typical Education/Experience: High school diploma or GED and typically 7 or more years’ related experience or an equivalent combination of education and experience.
