Job Title: Corporate Paralegal

We are looking for a responsible Corporate Paralegal to support our Corporate and SEC attorneys in the Analog Devices Legal Department.

Location: Wilmington, MA

Responsibilities:

Position reports to the Assistant General Counsel with the following responsibilities:

  • Assistance with SEC and public company matters, including:
    • Preparation and filing of Section 16 reports for Directors and Officers
    • Annual Reprt, Proxy Statement and Annual Shareholder Meeting
    • Quarterly earnings release process
  • Assistance with preparation and organization of Board of Directors and Committees minutes, materials and record books
  • Maintaining and organizing corporate subsidiaries, including:
    • Coordinate with outside counsel and accountants on required minutes, financials, annual reports, etc. for all ADI worldwide subsidiaries
    • Ensure documentation is accurate and properly reviewed and approved prior to presentation to subsidiary directors for signature
    • Keep corporate record books well organized and up-to-date
    • Maintain organizational structure charts
    • Maintain database of personal information regarding subsidiary directors
  • Assistance with matters of corporate governance, including charters, policies and procedures
  • Assistance with major projects including M&A transactions, debt offerings, corporate restructurings, etc.

Requirements:

  • Strong project management and organizational skills.
  • Basic understanding of corporate structure and general corporate formalities.
  • Able to review, understand and revise documents to ensure accuracy.
  • Prior experience with public companies either at a law firm or in-house at a public company required.
  • Proficiency in MS Office (Word, Excel and PowerPoint, in particular)
  • Excellent time management and follow-through skills with ability to prioritize work
  • Attention to detail and strong problem solving skills
  • Excellent written and verbal communication skills

Position requires ability to manage daily tasks and work with minimal supervision.
